Robert S. Bick

With more than two decades of experience serving clients in all areas of corporate and business law, Robert Bick provides legal representation to public and private companies, entrepreneurs, venture capital and private equity groups, boards of directors and business owners in a wide variety of transactions. His areas of expertise include all areas of corporate law, including mergers & acquisitions, divestitures, private placements, private equity, securities, tax, commercial and private lending (including senior, mezzanine and subordinated credit facilities), corporate governance (including providing legal advice to corporate officers and board members) and related business law matters. In addition, Mr. Bick regularly represents clients in the areas of strategic business and tax planning, entity selection and formation, contract drafting and negotiation, and structuring, negotiating, drafting and completing purchase and sale transactions from inception to closing.

Mr. Bick’s extensive corporate law experience includes the completion of hundreds of merger, acquisition, divestiture, going private, roll-up, financing and related transactions for numerous local, regional, national, and international clients.

Mr. Bick’s honors include his selection as a Michigan Super Lawyer (a designation reserved for the top 5% of attorneys in Michigan) in the areas of Business and Corporate Law (2007 – 2009); Corporate Counsel Super Lawyer in the areas of Business and Corporate Law (2008 - 2009); and dBusiness Top Lawyer in the areas of Business and Corporate Law and Mergers & Acquisitions (2009). Mr. Bick’s awards include his selections by Crain’s Detroit Business as a finalist in the Deal Maker of the Year category in Crain’s M&A Awards (2008) and by the M&A Advisor as the winner in the U. S. Cross-Border Deal of the Year category in the M&A Advisor’s Global M&A Advisor Awards (2009). Mr. Bick received an AV (highest possible) rating from Martindale-Hubbell and his profile is published in Who's Who in American Law.

For his expertise, Mr. Bick has been invited to participate as a lecturer and moderator at seminars that focus on corporate and business law issues. He has also authored several articles on corporate and tax law matters which have been published in legal publications, including the Michigan Bar Journal and Laches.

Mr. Bick has been selected to serve as an arbitrator for the National Association of Securities Dealers, The National Futures Association, and the American Arbitration Association (securities law panel). He was also selected as a member of the Financial Management Association National Honor Society and The Golden Key Honor Society.

Mr. Bick is actively involved in several professional organizations and associations, including: The Association for Corporate Growth, The University of Michigan Business School Club of Detroit, and The University of Michigan Alumni Association. He is a member of the American Bar Association (Section of Business Law; Member: Mergers and Acquisitions Committee and Venture Capital and Private Equity Committee), the State Bar of Michigan (Member: Corporate, Finance, and Business Law Section and Tax Law Section), and the Oakland County Bar Association (Member: Business Law Committee and Continuing Legal Education Committee). .
